1.1 Overview of Filmsolt
Filmsolt is a global platform for organizing and hosting competitions for short films and music videos. The platform is operated by Archiol, a leading organization dedicated to fostering creativity and innovation in the arts and design. Through Filmsolt, participants can submit their entries to a variety of international competitions, showcasing their work to a global audience and competing for prizes and recognition.

1.2 Agreement to Terms
By accessing or using the Filmsolt platform, submitting an entry, or participating in any competition hosted by Filmsolt, you ("Participant") agree to be bound by these Terms and Conditions, along with any other policies or guidelines set forth by Filmsolt. If you do not agree with these terms, you must refrain from using the platform or participating in any competitions.

1.3 Role of Archiol
Filmsolt is a subsidiary of Archiol, which provides oversight, support, and ensures the integrity of the platform. Archiol is responsible for the governance of the platform, ensuring that competitions are fair, transparent, and accessible to participants worldwide. Any reference to "Filmsolt" in these Terms and Conditions includes Archiol as the parent company.

1.4 Scope of the Terms
These Terms and Conditions apply to all users, participants, and content submitted to Filmsolt, regardless of their geographical location. Whether you are a filmmaker, music video creator, or viewer, these terms govern your interaction with the platform.

1.5 Purpose of the Competitions
Filmsolt’s mission is to encourage creativity and promote emerging filmmakers and artists. The competitions organized on the platform aim to provide participants with a platform to display their work, gain recognition, and receive valuable feedback from a diverse community of industry professionals.

1.6 Changes to the Terms
Filmsolt reserves the right to amend or modify these Terms and Conditions at any time without prior notice. All changes will be posted on the Filmsolt website, and participants are encouraged to review these terms regularly. Continued use of the platform or participation in any competition after such changes will be deemed as acceptance of the modified terms.

1.7 Governing Language
The official language of Filmsolt's Terms and Conditions is English. In the event of any translation of these terms, the English version will prevail in case of any discrepancies.

1.8 User Consent
By using the platform, the participant acknowledges that they have read, understood, and agreed to these Terms and Conditions, as well as any additional rules and guidelines that apply to individual competitions hosted on Filmsolt.

This section provides definitions for key terms used throughout these Terms and Conditions. The following terms shall have the meanings set out below:

2.1 "Participant"

  • Refers to any individual or entity who submits an entry to any competition organized by Filmsolt on the platform. The term "Participant" can include filmmakers, directors, producers, and any other person or group responsible for submitting content to the competition.

2.2 "Submission"

  • Refers to the short film, music video, or any other media content entered into the competition by a Participant. This includes the video itself, any accompanying documents (e.g., synopsis, credits), and any other related materials required for entry.

2.3 "Competition"

  • Refers to any event organized by Filmsolt where Participants can submit their creative works (such as short films or music videos) in order to be judged and have the chance to win awards or recognition. Competitions may vary in type, theme, and duration.

2.4 "Platform"

  • Refers to the website or online platform operated by Filmsolt where competitions are listed, and where Participants can submit their entries, view competition details, and interact with other users.

2.5 "Filmsolt"

  • Refers to the short film and music video competition platform operated by Archiol. Filmsolt provides a platform for international participants to engage in creative competitions and showcase their work.

2.6 "Archiol"

  • Refers to the parent company of Filmsolt, an organization based in India that operates a variety of design-related initiatives, including architecture competitions, creative platforms, and events.

2.7 "Content"

  • Refers to any creative work submitted by Participants in a Competition, including but not limited to short films, music videos, soundtracks, scripts, and any other materials required for submission as part of a competition.

2.8 "Judge" or "Judging Panel"

  • Refers to the group of professionals selected by Filmsolt to evaluate and score submissions based on the criteria set forth in each competition. Judges may be industry experts, filmmakers, critics, or other qualified individuals.

2.9 "Prize" or "Award"

  • Refers to any recognition, reward, monetary or non-monetary prize, trophy, or certificate given to the winning Participants of a competition. The type and value of the prizes will vary according to the competition rules.

2.10 "Entry Fee"

  • Refers to any fee required for participation in a competition. If applicable, this fee is paid by the Participant at the time of submission and is non-refundable unless otherwise stated in the competition guidelines.

2.11 "Content License"

  • Refers to the non-exclusive, royalty-free license granted by the Participant to Filmsolt to use, display, and promote the submitted content in connection with the competition, including but not limited to publication on Filmsolt's website, social media and promotional materials,in perpetuity.

2.12 "User Account"

  • Refers to the personalized account created by a Participant on the Filmsolt platform for submitting entries, receiving updates, and interacting with other participants and judges. A User Account may require the submission of personal information such as name, email, and password.

2.13 "Competition Period"

  • Refers to the specific start and end dates during which Participants may submit their entries to a competition. This period is defined in the official competition guidelines.

2.14 "Disqualification"

  • Refers to the removal of a Participant’s entry from the competition due to failure to comply with the competition rules, submission requirements, or any breach of the terms and conditions.

3.1 General Eligibility

  • The competition is open to individuals or groups who meet the requirements outlined in these terms and conditions.

  • Participants must be over the age of 18 at the time of submission.

  • Participants from all countries are eligible unless otherwise specified in a particular competition’s guidelines.

  • Participants must have the legal capacity to enter into a binding agreement. If a participant is a minor (under the age of 18 or the legal age in their jurisdiction), they must obtain permission from a legal guardian or parent to participate.

3.2 Specific Competition Requirements

  • Each competition may have additional eligibility criteria such as:

    • Restrictions based on the type of content (e.g., short films, music videos).

    • Any competition-specific regional or national eligibility rules (e.g., only certain countries can participate in a specific competition).

    • Limitations on the number of submissions per participant or group.

    • Any age restrictions relevant to a particular competition (e.g., youth-focused competitions).

  • Participants must read and comply with the eligibility rules for each specific competition before submitting their entries.

3.3 Ineligibility

  • Employees, contractors, affiliates, or agents of Filmsolt, Archiol, or any related entities, as well as their immediate family members or individuals living in the same household, are not eligible to participate in any competition.

  • Individuals who have been disqualified from previous competitions due to rule violations or unethical conduct may be restricted from entering future competitions.

  • Anyone under suspicion of manipulating the entry process, submitting plagiarized content, or engaging in fraudulent activities is ineligible and will be disqualified.

3.4 Verification of Eligibility

  • Filmsolt reserves the right to verify the eligibility of any participant at any time before, during, or after the competition. This includes checking identity, age, and other qualifications.

  • Participants may be required to provide additional documentation (e.g., proof of age or residence) upon request.

3.5 Team Participation

  • For team entries, the team leader must meet the eligibility criteria set forth in these terms. The team leader will be the primary contact for Filmsolt.

  • Team members must all meet the individual eligibility criteria. If any team member is found to be ineligible, the entire submission may be disqualified.

The following rules govern the participation in the competitions hosted on Filmsolt. By submitting an entry, participants agree to comply with these rules.

4.1 Competition Types

  • 4.1.1 Filmsolt organizes a variety of competitions, including but not limited to short film contests, music video challenges, and special thematic events.

  • 4.1.2 Each competition will have specific rules, themes, and guidelines that will be detailed in the competition brief published on the Filmsolt platform.

  • 4.1.3 Participants must select the appropriate competition category during the submission process. Filmsolt reserves the right to re-categorize any entry if deemed necessary.

4.2 Eligibility of Entries

  • 4.2.1 All entries must be the original work of the participant(s). Plagiarism or the use of copyrighted material without permission will result in immediate disqualification.

  • 4.2.2 Entries must comply with any age restrictions, location requirements, or other eligibility criteria set forth in the competition brief.

  • 4.2.3 Group submissions, collaborative entries, or individual entries are accepted depending on the specific competition. Team-based competitions may have different rules regarding the number of participants allowed per team.

  • 4.2.4 Participants may submit more than one entry in a competition, but each entry must meet the competition’s requirements and be paid for separately (if applicable).

4.3 Submission Guidelines

  • 4.3.1 All entries must be submitted via the Filmsolt platform using the official submission form. Submissions via email or third-party platforms will not be accepted.

  • 4.3.2 The format, length, and technical specifications of entries (e.g., file types, resolution) will be detailed in the competition brief. Failure to comply with these technical specifications will result in the disqualification of the entry.

  • 4.3.3 Each entry must include a project title, description, and any necessary credits, including but not limited to the names of the director, producer, actors, and any collaborators.

  • 4.3.4 All entries must be accompanied by a completed participant consent form, where applicable. This form will grant Filmsolt the rights to display and promote the entry.

4.4 Submission Deadlines

  • 4.4.1 Each competition will have clearly defined submission deadlines. Entries received after the deadline will not be considered for the competition.

  • 4.4.2 Filmsolt may extend or modify deadlines in exceptional circumstances. Such changes will be communicated via the platform or email to participants.

4.5 Entry Fees

  • 4.5.1 Some competitions may require a non-refundable entry fee, which will be stated in the competition details. Participants must pay the entry fee before submitting their entry.

  • 4.5.2 In cases where no fee is required, Filmsolt reserves the right to charge an entry fee in the future and will notify participants in advance.

  • 4.5.3 Fees are generally not refundable under any circumstances except for exceptional cases, which will be evaluated on a case-by-case basis. If a refund is approved, it will be processed within 5–7 working days.

4.6 Entry Modifications

  • 4.6.1 Participants may modify or update their entries before the submission deadline. After the deadline has passed, no changes will be allowed to the submitted work.

  • 4.6.2 Filmsolt reserves the right to reject an entry if it does not meet the specified requirements after submission.

4.7 Multiple Submissions

  • 4.7.1 Participants are allowed to submit multiple entries for a single competition, as long as each submission complies with the competition rules and requirements.

  • 4.7.2 Each additional entry requires a separate submission and payment (if applicable).

4.8 Evaluation Criteria

  • 4.8.1 Entries will be evaluated based on the criteria set forth in the competition brief, including but not limited to creativity, originality, technical quality, and adherence to the theme.

  • 4.8.2 Judges will consist of industry professionals, filmmakers, and other relevant experts who will evaluate entries fairly and impartially.

  • 4.8.3 The decision of the judging panel is final and binding. Filmsolt reserves the right to disqualify any entry if it does not meet the judging criteria or violates the competition rules.

4.9 Results and Announcements

  • 4.9.1 Winners will be notified via the email address provided during submission.

  • 4.9.2 The official list of winners and awards will be posted on the Filmsolt platform within a specified timeframe after the competition closes.

  • 4.9.3 Participants agree to allow Filmsolt to publicly announce their names and other relevant details in the event of their winning or receiving honorable mentions.

4.10 Disqualification

  • 4.10.1 Filmsolt reserves the right to disqualify any entry that violates these competition rules, including content restrictions or intellectual property violations.

  • 4.10.2 If an entry is found to be plagiarized, fraudulent, or misleading in any way, Filmsolt may disqualify the entry at any stage of the competition.

  • 4.10.3 Disqualified participants will not be entitled to any refund of entry fees (if applicable).

5.1 Fee Structure

  • The entry fee for participating in each competition shall be clearly outlined on the Filmsolt website or in the competition details.

  • The fee may vary depending on the competition type, category, or level of participation (e.g., early bird fees, standard fees, etc.).

5.2 Payment Methods

  • Participants may pay the entry fee using the available payment methods, such as credit/debit cards, online payment gateways, or other methods as specified on the platform.

  • All payments must be made in the currency specified on the website or in the competition details. Filmsolt will indicate the conversion rates for international participants if applicable.

5.3 Fee Payment Deadlines

  • Entry fees must be paid by the specified deadline for each competition. Failure to pay the entry fee within the stipulated time will result in disqualification from the competition.

  • Any late payments may incur an additional late fee, which will be specified on the competition page.

5.4 Non-Refundable Fees

  • The entry fee is non-refundable, even if the participant withdraws from the competition after submission, or if their submission is disqualified.

  • Exceptions to this may apply in case of technical difficulties or other specific situations, as deemed appropriate by Filmsolt, and will be decided on a case-by-case basis.

5.5 Fee Waivers or Discounts

  • Filmsolt may, at its discretion, offer fee waivers, discounts, or special promotional offers to specific participants or groups, such as students, underrepresented artists, or through partnerships with sponsors.

  • Any available waivers or discounts will be announced in advance and will require the participant to meet eligibility criteria as specified by Filmsolt.

5.6 Currency and International Fees

  • For international participants, the entry fee may be subject to additional charges, including but not limited to currency conversion fees, taxes, or transaction fees imposed by the payment provider.

  • Participants are responsible for any additional charges incurred during payment and should ensure that they account for these charges when making the payment.

5.7 Receipts and Acknowledgment

  • Upon successful payment of the entry fee, the participant will receive an acknowledgment email and a digital receipt outlining the amount paid and the competition for which the payment was made.

  • Participants should retain a copy of the receipt for their records.

5.8 Refunds in Exceptional Circumstances

  • In case of exceptional circumstances, such as a technical error preventing submission, Filmsolt may offer a refund of the entry fee at its discretion.

  • Requests for refunds must be submitted within 7 days after the competition entry deadline and will be reviewed on a case-by-case basis.

6.1 Ownership of Content

  • Participants retain full ownership of the intellectual property rights to their submitted content, including but not limited to copyrights, trademarks, and any associated rights.

  • By submitting an entry, the participant confirms that they are the original creator of the content and have full rights to distribute and submit the content without infringing upon the rights of any third parties.

6.2 License to Use Submitted Content

  • By submitting content to the Filmsolt platform, participants grant Filmsolt a non-exclusive, worldwide, royalty-free, and irrevocable license to use, display, distribute, reproduce, modify, adapt, and publicly perform the content for the purposes of promoting and organizing the competition, on the Filmsolt website, in social media, marketing materials, and other promotional channels.

  • This license includes the right for Filmsolt to use clips or stills from the content in promotional materials, films, advertisements, and other media related to Filmsolt's activities.

  • The license will continue even after the competition has ended, and Filmsolt may continue to use the content for non-commercial purposes (such as showcasing in a portfolio or archive) unless the participant revokes it in writing.

6.3 Participant's Warranty

  • The participant warrants that they are the sole owner of all rights to the submitted content and that the content does not infringe any third-party rights, including but not limited to copyright, trademark, privacy, or publicity rights.

  • The participant further warrants that they have obtained all necessary permissions, releases, or licenses for any third-party content included in the submission (such as music, images, or video clips).

  • The participant agrees to indemnify and hold Filmsolt, its affiliates, partners, and sponsors harmless from any claims, damages, or expenses arising out of a breach of these warranties.

6.4 Moral Rights

  • The participant retains all moral rights (including the right of attribution and the right to object to derogatory treatment) over their content, to the extent permitted by law.

  • However, by submitting the content, the participant acknowledges that Filmsolt may make necessary modifications to the content for the purposes of promotion and distribution, such as editing for format, length, or technical quality.

6.5 No Obligation to Use

  • Filmsolt is under no obligation to use, display, or otherwise exploit any content submitted to the platform. Participation in the competition does not guarantee that the content will be selected for any public display, promotional use, or inclusion in any official competition material.

6.6 Rights to Prizes

  • In the event that a submission is awarded a prize, the participant agrees that Filmsolt may use the name, likeness, and biography of the winning participants for promotional and advertising purposes, including but not limited to social media posts, press releases, and event promotions, without additional compensation.

6.7 Third-Party Content

  • If a participant includes third-party content (e.g., music, images, video clips) in their submission, it is the participant’s responsibility to secure any necessary rights, permissions, or licenses from the third-party content owners.

  • Filmsolt assumes no liability for any claims arising from the inclusion of third-party content in submissions.

Participants must ensure that their submissions adhere to the following content restrictions. Any content found to be in violation of these guidelines may be disqualified from the competition and removed from the platform.

7.1 Prohibited Content

  • 7.1.1 Illegal Content: Any content that violates the laws of India or the country of the participant’s origin, including but not limited to material that promotes illegal activities, substances, or actions, will be disqualified.

  • 7.1.2 Hate Speech and Discrimination: Content that promotes hate speech, discrimination, or violence against any individual or group based on race, religion, gender, sexual orientation, nationality, disability, or any other protected characteristic is prohibited.

  • 7.1.3 Pornographic or Adult Content: Any content that includes explicit sexual material or nudity, unless specifically permitted for certain categories, will be disqualified.

  • 7.1.4 Harassment and Bullying: Content that includes harassment, bullying, threats, or intimidation towards any individual or group will be immediately removed.

7.2 Copyright and Intellectual Property Violations

  • 7.2.1 Originality of Content: All entries must be the original work of the participant. Any content that contains plagiarized material, including music, video, images, or scripts, will be disqualified.

  • 7.2.2 Third-Party Content: If the content includes any third-party materials, such as music, clips, or artwork, participants must have the proper licenses or permissions for such use. Failure to do so may result in disqualification.

  • 7.2.3 Trademark and Branding: Participants are prohibited from using logos, trademarks, or branded content without explicit permission from the trademark holder.

7.3 Harmful or Inappropriate Behavior

  • 7.3.1 Violence and Graphic Content: Content that glorifies violence, depicts disturbing or graphic imagery, or contains excessive gore will be removed.

  • 7.3.2 Dangerous or Harmful Activities: Submissions that encourage or depict dangerous behavior or activities that could harm the participants, others, or animals will be disqualified.

7.4 Defamation and False Information

  • 7.4.1 Defamatory Content: Participants are prohibited from submitting content that defames, slanders, or libels any person, group, or organization.

  • 7.4.2 False or Misleading Information: Submissions containing false, misleading, or deceptive information, whether intentional or unintentional, are prohibited.

7.5 Respect for Privacy and Consent

  • 7.5.1 Invasion of Privacy: Content that invades the privacy of individuals, including the unauthorized use of personal information or footage, is strictly prohibited.

  • 7.5.2 Consent for Appearance: Any individual appearing in a submission must provide their consent for being filmed, photographed, or included in the video. Participants must ensure that they have obtained written permission from all persons appearing in their submissions.

7.6 Environmental and Cultural Sensitivity

  • 7.6.1 Cultural Appropriation: Participants must avoid content that misrepresents or appropriates cultures, identities, or traditions in an insensitive or exploitative manner.

  • 7.6.2 Environmental Responsibility: Content that promotes environmental harm, including the destruction of nature or endangered species, will be disqualified.

7.7 No Malicious or Harmful Intent

  • 7.7.1 Malicious Content: Content that is intentionally designed to deceive, manipulate, or mislead viewers will not be tolerated. This includes, but is not limited to, deepfakes, altered visuals, and misleading narratives.

  • 7.7.2 Cyberbullying or Trolling: Submissions promoting online abuse, trolling, or cyberbullying will be immediately disqualified.

7.8 Filmsolt’s Right to Remove Content

  • 7.8.1 Discretionary Action: Filmsolt reserves the right, at its sole discretion, to remove any submission that does not comply with these content restrictions, regardless of whether the violation was intentional or accidental.

  • 7.8.2 Notification of Removal: Participants whose content has been removed will be notified, and if necessary, provided with the reasons for removal. Participants may appeal the decision within a specified time frame.

8.1 Judging Criteria

  • The submitted entries will be evaluated based on the following key criteria:

    • Creativity and Originality: How unique and innovative the content is.

    • Technical Execution: The quality of production, including sound, visuals, editing, and overall technical skill.

    • Storytelling and Concept: The strength and clarity of the narrative or concept presented in the submission.

    • Relevance to Theme: The degree to which the submission adheres to the theme or topic of the competition.

    • Impact and Emotional Engagement: The ability of the content to evoke emotions or engage the audience.

    • Cultural Sensitivity: Respect for diversity and avoidance of any offensive, discriminatory, or culturally insensitive content.

8.2 Selection of Judges

  • 8.2.1 Composition: The panel of judges will consist of a mix of industry professionals, filmmakers, musicians, and cultural experts, depending on the nature of the competition.

  • 8.2.2 Expertise: Judges will have expertise in various areas relevant to the competition, such as film direction, cinematography, music video production, scriptwriting, and editing.

  • 8.2.3 Independent Judgment: All judges will review entries independently, and their decisions will be final and binding.

8.3 Judging Process

  • 8.3.1 Initial Review: Upon the close of the competition entry period, all submissions will undergo an initial review for eligibility and compliance with competition rules. This includes verifying that entries meet the required format and adhere to content restrictions.

  • 8.3.2 Evaluation Rounds:

    • Submissions will be evaluated in multiple rounds. In the first round, judges will score entries based on the criteria mentioned in Clause 8.1.

    • In the second round, shortlisted entries will be reviewed more thoroughly, with judges offering feedback and scoring again.

  • 8.3.3 Final Selection: After all rounds are completed, the entries with the highest scores across all criteria will be selected as winners. The final selection will be determined by a majority decision of the judging panel.

8.4 Conflict of Interest

  • 8.4.1 Disclosure: Judges must disclose any potential conflicts of interest before starting the review process. This includes relationships with any participants or any other interests that could bias their judgment.

  • 8.4.2 Recusal: Any judge who has a conflict of interest must recuse themselves from judging the relevant entries.

8.5 Feedback and Transparency

  • 8.5.1 Feedback to Participants: While Filmsolt may provide feedback to participants upon request, detailed comments on each entry will not be given to maintain impartiality and to avoid influencing future submissions.

  • 8.5.2 Transparency of Results: The names of the winners, along with the rationale for their selection, may be published on the Filmsolt platform. However, specific details of each judge's scoring will remain confidential to ensure fairness.

8.6 Tie-Breaker Procedure

  • 8.6.1 Tie Resolution: In the event of a tie between two or more entries, a second round of evaluation will be conducted. Judges will reassess the tied entries, and the entry with the highest cumulative score after the tie-breaker evaluation will be chosen as the winner.

  • 8.6.2 Final Decision: If the tie cannot be broken after the second round of evaluations, the final decision will be made by the head judge, whose decision will be final.

8.7 Disqualification of Entries

  • 8.7.1 Disqualified Entries: Any submission that does not adhere to the competition’s rules, such as violations of the content guidelines or submission requirements, will be disqualified at any stage of the judging process.

  • 8.7.2 Grounds for Disqualification: This includes, but is not limited to, the use of plagiarized content, failure to meet submission deadlines, or content that breaches the platform’s terms regarding offensive or inappropriate material.

8.8 Announcement of Winners

  • 8.8.1 Timing: Winners will be announced within a specified period after the competition ends, usually within 30 to 60 days.

  • 8.8.2 Prize Distribution: After the winners are announced, Filmsolt will provide details on how and when prizes will be distributed, including any required documentation or procedures to claim the prize.

Filmsolt values the creativity and effort of all participants and recognizes their achievements through a range of prizes and awards. The details of the prizes are as follows:

9.1 Prize Categories

  • Prizes may vary depending on the competition type and category. These can include, but are not limited to:

    • Monetary awards

    • Scholarships or mentorship programs

    • Industry-related products or services

    • Recognition certificates, trophies, or plaques

    • Publication or distribution of the winning entry

    • Invitations to film festivals or screenings

9.2 Prize Allocation

  • Each competition will have clearly defined prize categories based on judging criteria, including but not limited to:

    • Grand Prize: For the overall winner.

    • Category Prizes: For specific themes or genres (e.g., Best Cinematography, Best Direction, Best Music Video).

    • Audience Choice: Based on public voting, if applicable.

  • Filmsolt reserves the right to modify or add new prize categories at its discretion.

9.3 Monetary Prizes

  • Monetary awards will be awarded as specified in the competition details.

  • Payments will be made via electronic transfer to the account provided by the winner, or through any other method determined by Filmsolt.

  • The winner is responsible for any taxes, bank charges, or other financial obligations arising from receiving the monetary prize.

9.4 Non-Monetary Prizes

  • Non-monetary prizes may include:

    • Equipment or software relevant to film or music production.

    • Memberships, internships, or access to professional networks or events.

    • Publication or feature on Filmsolt’s website, social media, or partner platforms.

  • The value and terms of non-monetary prizes will be outlined in the competition details.

9.5 Prize Distribution and Delivery

  • Prizes will be distributed or delivered following the announcement of the winners.

  • Filmsolt will make reasonable efforts to ensure the timely delivery of prizes, but is not responsible for delays or issues caused by external factors (e.g., shipping delays, customs issues).

20.2 Jurisdiction
By participating in any competition on the Filmsolt platform, you agree to submit to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India, and waive any objections to such jurisdiction or venue.

20.3 Limitation of Liability
Filmsolt and its affiliates, officers, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to your participation in the competition or your use of the Filmsolt platform. This includes, but is not limited to, loss of data, loss of opportunity, technical errors, or any other unforeseen circumstances.

20.4 No Responsibility for Platform Accessibility
Filmsolt will not be held responsible for any technical difficulties or interruptions in the availability of the platform, including server outages, delays, or any other issues beyond its control that may impact a participant's ability to submit their entry or access competition-related content.

20.5 No Liability for Third-Party Content
Filmsolt is not responsible for any third-party content or external links that may appear on the platform. You agree that Filmsolt does not endorse, verify, or take any responsibility for the content of third-party websites, advertisements, or materials, and that you engage with such third parties at your own risk.

20.6 No Guarantee of Awards or Prizes
Filmsolt makes no guarantees that you will receive any awards, recognition, or prizes as a result of participating in any competition. All decisions made by the judges and Filmsolt regarding the selection of winners are final and binding. Filmsolt is not liable for any dissatisfaction with the outcome of a competition.

20.7 Disruptive Events
Filmsolt shall not be responsible for any inability to fulfill its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, technical malfunctions, government restrictions, or any other event outside of Filmsolt's control.

In the event that a prize cannot be delivered due to reasons beyond Filmsolt's control, including but not limited to incorrect participant details or third-party delivery failures, Filmsolt will not be held liable, and no alternative prize will be provided.

19.1 General Termination Rights

  • Filmsolt reserves the right to suspend, terminate, or restrict access to the platform for any participant who violates the Terms and Conditions, including but not limited to breach of intellectual property rights, content restrictions, or any applicable laws.

19.2 Suspension or Termination for Misconduct

  • Any participant who engages in disruptive behavior, submits inappropriate content, or is involved in any form of harassment or abuse on the platform will have their account suspended or terminated, depending on the severity of the violation.

  • Violations include but are not limited to: spamming, fraudulent submissions, hate speech, threats, harassment, or any other conduct that Filmsolt deems harmful to the community or its members.

19.3 Termination for Violation of Content Guidelines

  • Filmsolt reserves the right to immediately disqualify, suspend, or terminate the access of any participant who submits content that violates the platform's content guidelines, including but not limited to:

    • Content that is sexually explicit, offensive, discriminatory, or otherwise violates moral and ethical standards.

    • Content that promotes violence, illegal activities, or harmful behavior.

    • Content that contains defamatory, racist, or hate speech against any group or individual.

19.4 Termination for Anti-Indian Content

  • Filmsolt has a strict policy against content that promotes anti-Indian sentiments, content that undermines the integrity or sovereignty of India, or material that seeks to spread hatred or incite violence against Indian people, culture, or the nation as a whole.

  • Any submission found to be promoting or glorifying anti-Indian ideology, language, or imagery will be disqualified and the participant’s access to the platform will be immediately terminated.

  • Filmsolt may take additional legal action as necessary in such cases, in accordance with Indian law.

19.5 Infringement of Intellectual Property

  • Participants found submitting content that infringes on the intellectual property rights of others (including unauthorized use of copyrighted material) will face immediate termination of their access to the platform and disqualification from the competition.

  • Filmsolt holds the right to report any infringement to the relevant authorities as needed.

19.6 Non-Compliance with Legal or Ethical Standards

  • If Filmsolt, in its sole discretion, believes that a participant's actions or content do not comply with the legal, ethical, or community standards expected of users of the platform, the participant’s account may be suspended or terminated without notice.

19.7 Right to Modify or Terminate the Platform

  • Filmsolt reserves the right to suspend, modify, or terminate the platform’s services at its discretion. If termination or suspension is required for any reason, Filmsolt will make reasonable efforts to notify participants about the suspension or termination of their access to the platform.

19.8 Effect of Termination

  • Upon termination, the participant’s right to access the platform or participate in any competition will be revoked, and the participant will no longer be able to submit content or access any submitted materials.

  • Any winnings or prizes that have been awarded to a participant who is subsequently disqualified or terminated may be revoked or required to be returned.

19.9 No Liability for Termination

  • Filmsolt will not be liable for any losses or damages that result from the suspension or termination of an account or access to the platform, including but not limited to loss of submitted content or any financial implications.

18.1 General Indemnity
The Participant agrees to indemnify, defend, and hold harmless Filmsolt, Archiol, its officers, directors, employees, agents, affiliates, and partners (collectively, "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, expenses, or legal fees (including but not limited to attorney's fees and court costs) arising out of or related to:

  • The Participant's submission of content to Filmsolt.

  • Any violation of the Filmsolt Terms and Conditions by the Participant.

  • Any infringement of intellectual property rights, including copyright, trademark, or other proprietary rights, related to the Participant's content submission.

  • Any harm, damage, or injury (personal, physical, emotional, or financial) resulting from the Participant’s involvement in the competition.

  • Any breach of any warranty, representation, or agreement made by the Participant under these Terms and Conditions.

18.2 Violation of Laws or Third-Party Rights
The Participant agrees to indemnify and hold harmless the Indemnified Parties from any claims arising from:

  • The submission of content that violates any laws, statutes, or regulations, including but not limited to laws related to obscenity, defamation, intellectual property rights, or privacy.

  • The submission of content that infringes on the intellectual property, rights of publicity, or other proprietary rights of any third party.

  • Any unauthorized use, copying, distribution, or exploitation of third-party materials included in the Participant’s content.

18.3 Legal Fees and Costs
In the event that any indemnification obligation is triggered under this clause, the Participant agrees to reimburse Filmsolt and Archiol for all reasonable legal fees and other associated costs incurred in defending against claims or disputes related to the Participant’s content or actions, even if the claims are ultimately found to be without merit.

18.4 Notification of Claims
In the event of any claim or legal action that may trigger this indemnification obligation, Filmsolt or Archiol will promptly notify the Participant in writing of the claim or action. The Participant shall cooperate fully with the Indemnified Parties in defending against such claims or actions, and Filmsolt or Archiol shall have the right to control the defense and settlement of such claims.

18.5 Survival of Indemnity Obligation
The indemnification obligations under this clause shall survive the termination of the Participant’s participation in any competition, the termination or expiration of these Terms and Conditions, and any withdrawal of a Participant’s submission.

18.6 No Limitation on Liability
This indemnification provision applies regardless of any limitations on Filmsolt’s or Archiol’s liability set forth elsewhere in these Terms and Conditions. The Participant agrees that Filmsolt and Archiol will not be liable for any damages (direct, indirect, incidental, or consequential) resulting from the Participant’s actions, omissions, or content submission.

18.7 Indemnification for Breach of Terms
In addition to the obligations set forth above, the Participant agrees to indemnify Filmsolt and Archiol for any losses, damages, or costs resulting from the Participant’s failure to comply with these Terms and Conditions or any other policies or guidelines set forth by Filmsolt. This includes, but is not limited to, content that is deemed in violation of Filmsolt's Content Guidelines, terms of service, or applicable law.

18.8 Defense of Reputation
The Participant further agrees to indemnify and hold harmless Filmsolt and Archiol against any claim or loss arising from harm to their reputations, brand image, or business resulting from the Participant’s behavior, content submission, or engagement with the platform in any manner.

By participating in Filmsolt’s competitions, accessing the platform, or submitting content, participants agree to the following responsibilities:

17.1 Compliance with Laws and Regulations

  • Users agree to comply with all applicable local, national, and international laws, regulations, and rules while using the platform or participating in any competition. This includes, but is not limited to, laws related to copyright, intellectual property, privacy, and data protection.

  • Filmsolt and Archiol will not be held liable for any unlawful acts or violations committed by users in connection with their participation.

17.2 Content Integrity

  • Users must ensure that the content they submit (including but not limited to videos, music, scripts, and artwork) is original and does not infringe upon any third-party copyrights, trademarks, or intellectual property rights.

  • Users must not submit content that contains elements which are harmful, abusive, defamatory, harassing, discriminatory, or in violation of any third-party’s rights.

  • Any content that violates this clause will result in immediate disqualification, and Filmsolt reserves the right to take further legal action if necessary.

17.3 Prohibited Behavior

  • Users must not engage in fraudulent activities, such as submitting plagiarized content, falsifying entry details, or providing false information during the competition process.

  • Users agree not to engage in any behavior that may compromise the security, functionality, or integrity of the platform, including hacking, spamming, or disrupting other participants’ access or submissions.

  • Filmsolt and Archiol will not be responsible for any malicious activities performed by users, and will take legal action against individuals who engage in such behavior.

17.4 Platform Use

  • Users agree to use the Filmsolt platform only for its intended purposes. This includes entering competitions, submitting content, and participating in community activities, in accordance with the guidelines and rules set out by Filmsolt.

  • Users must not use the platform to solicit business, distribute unsolicited advertisements, or attempt to gain unauthorized access to other users’ personal information.

17.5 Personal Conduct

  • Participants are expected to conduct themselves in a professional, respectful, and ethical manner when interacting with other users, judges, and Filmsolt representatives.

  • Any abusive, inappropriate, or discriminatory behavior toward other participants, staff, or the platform itself will lead to immediate disqualification from current and future competitions, and may result in legal action.

17.6 Indemnification

  • Users agree to indemnify, defend, and hold harmless Filmsolt, Archiol, their affiliates, partners, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, or expenses (including legal fees) arising from:

    • Violation of these Terms and Conditions.

    • Infringement of any intellectual property or third-party rights.

    • Misuse of the Filmsolt platform or submission of illegal content.

    • Any dispute arising from a participant’s entry or conduct during the competition.

  • This indemnification obligation remains in effect even after the participant’s involvement in the competition or use of the platform has ended.

17.7 Compliance with Competition Rules

  • Participants must adhere strictly to the competition rules as outlined in the specific competition guidelines. Non-compliance with these rules, including submission of incorrect, incomplete, or misleading entries, will result in immediate disqualification.

  • Filmsolt reserves the right to disqualify any entry at its sole discretion if it is found to violate these responsibilities.

17.8 Reporting Violations

  • Users are responsible for reporting any potential violations of these Terms and Conditions, including suspected fraud, intellectual property infringement, or abuse of the platform.

17.9 Responsibility for Third-Party Content

  • Users agree to assume full responsibility for ensuring that any third-party content included in their submissions complies with all legal requirements and does not infringe upon any copyrights or trademarks.

17.10 Platform Availability

  • While Filmsolt strives to maintain the platform’s availability, users acknowledge that Filmsolt and Archiol are not responsible for any downtime, technical issues, or interruptions in service.

  • Filmsolt and Archiol are not liable for any loss or damage resulting from such downtime, including but not limited to issues with submission deadlines or competition timelines.

17.11 Data Usage

  • Users are responsible for ensuring that any personal information or data provided on the platform is accurate, current, and complete.

  • Filmsolt reserves the right to use the data provided for the purposes of conducting and administering competitions, promotions, and marketing campaigns. Users agree to receive communications regarding the platform and competitions unless they opt out through the platform’s settings.

17.12 Compliance with Filmsolt's Rights

  • Users agree not to take any action that could damage, diminish, or interfere with the rights and interests of Filmsolt, Archiol, or its affiliates, including the use of Filmsolt's trademarks, branding, or any proprietary content without explicit permission.

  • Filmsolt reserves the right to take legal action in case of unauthorized use of its intellectual property or breach of its rights by users.

16.1 Definition of Force Majeure
For the purposes of these Terms and Conditions, "Force Majeure" refers to any event or circumstance beyond the reasonable control of Filmsolt and Archiol that prevents, delays, or hinders the performance of their obligations under these Terms. This includes, but is not limited to, natural disasters (earthquakes, floods, fires, hurricanes, etc.), war, terrorism, civil disturbances, strikes, pandemics, epidemics, government actions, regulatory changes, network failures, or any other event that Filmsolt and Archiol could not have reasonably foreseen or prevented.

16.2 No Liability for Force Majeure Events
In the event of a Force Majeure, Filmsolt and Archiol shall not be held liable for any failure or delay in fulfilling their obligations under these Terms. Neither Filmsolt nor Archiol shall be liable for any damages, losses, or inconveniences suffered by participants or any third parties resulting from such a Force Majeure event.

16.3 Notification of Force Majeure
Filmsolt and Archiol shall promptly notify participants and relevant stakeholders of any Force Majeure event that affects their ability to perform obligations under these Terms. The notification will include a description of the event, its impact on the platform or competition, and any potential delays or cancellations.

16.4 Suspension of Obligations
In the event of a Force Majeure, Filmsolt and Archiol reserve the right to suspend any obligations under these Terms for the duration of the Force Majeure event. This includes, but is not limited to, suspension of competition deadlines, judgment processes, prize distributions, and other operational aspects of the platform.

16.5 Post-Force Majeure Resumption of Services
Once the Force Majeure event has been resolved, Filmsolt and Archiol shall make commercially reasonable efforts to resume all affected services as soon as practicable. However, there shall be no obligation to resume services if the Force Majeure event continues for a period deemed unreasonable by Filmsolt and Archiol, or if it makes resumption impractical.

16.6 No Claim for Damages or Compensation
Participants acknowledge and agree that they shall not claim any damages, compensation, or refunds from Filmsolt or Archiol for any disruptions, cancellations, or delays caused by a Force Majeure event. Filmsolt and Archiol will not be responsible for any indirect, consequential, or incidental damages that may arise due to Force Majeure.

16.7 Force Majeure and Changes to the Competition
In the event of a Force Majeure, Filmsolt and Archiol may, at their discretion, make changes to the competition format, timeline, or structure to adapt to the circumstances of the Force Majeure event. Participants agree to comply with any such changes and understand that they will not hold Filmsolt or Archiol liable for any modifications made.

16.8 Continuity of Terms Despite Force Majeure
Even in the event of a Force Majeure, all other terms and conditions of the agreement shall remain in full force and effect unless specifically amended by Filmsolt and Archiol due to the circumstances of the Force Majeure event.

16.9 Exception for Delays in Prizes and Recognition
Filmsolt and Archiol are not liable for delays in the distribution of prizes, certificates, or other forms of recognition caused by Force Majeure events. Such delays will be communicated to participants, and reasonable efforts will be made to fulfill these obligations once the Force Majeure event has concluded.

16.10 Right to Cancel or Modify Competitions
In the event that the Force Majeure event significantly impacts the competition to the point of rendering it unfeasible, Filmsolt and Archiol reserve the right to cancel or modify the competition entirely, without incurring any liability to participants or any third parties.

15.1 Agreement to Resolve Disputes
By participating in any competition or using the Filmsolt platform, participants agree that any and all disputes, controversies, or claims arising out of or in connection with the competition, these terms and conditions, or any participant’s involvement with the platform shall be resolved in accordance with the procedures outlined in this section.

15.2 Informal Resolution
In the event of a dispute, the participant agrees to first attempt to resolve the issue informally by contacting Filmsolt’s customer support team. Filmsolt will make reasonable efforts to address the participant's concerns, but is under no obligation to provide any financial compensation or assume any liability.

15.3 Arbitration Process
If the dispute cannot be resolved informally, the participant agrees to resolve the dispute through binding arbitration, conducted in Mumbai, India, in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The participant acknowledges and agrees that arbitration will be the sole and exclusive remedy for any disputes.

15.4 No Class Action
Participants agree that any disputes will be resolved individually and not as part of a class, consolidated, or representative action. Participants waive any right to participate in a class action, mass action, or similar legal proceeding.

15.5 Waiver of Financial Responsibility
Filmsolt, its parent company Archiol, its affiliates, partners, employees, and agents are under no financial responsibility to participants or third parties under any circumstances, including but not limited to disputes, claims, or damages arising from the use of the platform or participation in any competition. Participants agree that in no event shall Filmsolt or Archiol be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to any loss of profit, revenue, or goodwill, regardless of the cause.

15.6 Jurisdiction and Governing Law
All disputes arising from these terms and conditions, or any legal action involving Filmsolt or Archiol, shall be governed by and construed in accordance with the laws of India. The participant expressly consents to the exclusive jurisdiction of the courts located in Mumbai, India, for the resolution of any legal matters.

15.7 Cost of Arbitration
The participant shall bear their own costs and expenses associated with arbitration, including but not limited to attorney fees, unless otherwise determined by the arbitrator. Filmsolt shall only be responsible for its own legal costs, and no financial responsibility will be assumed for any costs incurred by the participant.

15.8 Final and Binding Decision
The decision rendered by the arbitrator shall be final and binding on all parties. No appeal or further legal action may be pursued in any court or tribunal, and the participant agrees to abide by the arbitrator’s decision.

15.9 Limitation of Claims
The participant agrees that any claim or cause of action arising out of or related to the competition, these terms, or their participation in any competition must be filed within one (1) year after the cause of action arises. Any claims not filed within this period will be permanently barred.

15.10 Filmsolt’s Right to Amend Dispute Resolution Terms

Filmsolt reserves the right to amend, modify, or update the dispute resolution procedures outlined in this clause at any time. Participants will be notified of any changes, and continued participation in competitions or use of the platform constitutes acceptance of any updated terms.

14.1 Right to Amend
Filmsolt and Archiol reserve the right, at their sole discretion, to amend, modify, or update these Terms and Conditions at any time without prior notice. Participants are responsible for reviewing these Terms periodically to ensure awareness of any changes.

14.2 Effective Date of Amendments
Any amendments to these Terms and Conditions will take effect immediately upon being posted on the Filmsolt platform, unless stated otherwise in the amendment. By continuing to use the platform and participate in the competition after such amendments, participants agree to be bound by the updated Terms and Conditions.

14.3 No Financial Liability for Amendments
Filmsolt and Archiol shall not be held financially liable for any damages, losses, or inconveniences that may result from amendments to these Terms and Conditions. This includes, but is not limited to, financial losses due to changes in competition rules, prize distribution, or eligibility requirements.

14.4 Participants’ Responsibility for Reviewing Terms
It is the sole responsibility of each participant to regularly review these Terms and Conditions. Participants acknowledge that failure to review the Terms does not excuse them from compliance with the most current version of the Terms and Conditions.

14.5 No Refunds Due to Amendments
Participants shall not be entitled to any refunds or compensation of any kind as a result of changes made to the competition’s rules, structure, deadlines, or any other aspect of the Terms and Conditions. Filmsolt and Archiol disclaim any financial responsibility for any loss or perceived loss due to such amendments.

14.6 No Liability for Third-Party Links or Content
In case of any amendments involving third-party content or external links (including, but not limited to, sponsors, partners, or advertisers), Filmsolt and Archiol shall not be held liable for the accuracy, legality, or potential risks associated with such third-party content or links. Amendments to the competition’s affiliation with any third parties are also made at the sole discretion of Filmsolt and Archiol without any financial obligation.

14.7 Waiver of Claims
By continuing to use the platform, participants waive any and all claims for damages, losses, or financial compensation related to amendments made to the Terms and Conditions. This waiver extends to any perceived or actual damages arising from changes to competition guidelines, deadlines, prizes, or any other aspect of the competition process.

14.8 Indemnification for Amendments
Participants agree to indemnify and hold harmless Filmsolt, Archiol, and their affiliates, employees, and agents from any and all claims, demands, actions, or suits arising from or related to any changes or amendments to these Terms and Conditions, including any financial losses that may occur due to such amendments.

13.1 Grounds for Disqualification
Filmsolt reserves the right to disqualify any participant or entry at its sole discretion if:

  • The submission violates any of the competition rules or these terms and conditions.

  • The content submitted is found to be plagiarized, fraudulent, or in violation of any third-party rights, including intellectual property, privacy, or publicity rights.

  • The participant submits content that is deemed offensive, obscene, defamatory, discriminatory, or otherwise illegal, as determined by Filmsolt in its sole discretion.

  • The participant fails to provide accurate or truthful information during the registration or submission process.

  • The participant engages in any activities that disrupt or interfere with the integrity or fairness of the competition or the functioning of the Filmsolt platform.

13.2 Violation of Terms

  • If a participant violates any term of these terms and conditions, Filmsolt reserves the right to terminate their participation and any access to the platform.

  • Upon termination, Filmsolt has the right to remove any submission from the competition and disqualify the participant from future competitions or events organized by Filmsolt or its parent company, Archiol.

13.3 Suspension of Access

  • Filmsolt reserves the right, at its sole discretion, to temporarily suspend or permanently terminate a participant’s access to the platform if:

    • The participant is found to be engaging in activities that Filmsolt believes may harm the platform, its users, or its reputation.

    • The participant’s behavior is deemed by Filmsolt to be abusive, disruptive, or otherwise harmful to the smooth operation of the competition or the Filmsolt community.

13.4 Termination of Participation by Participant

  • Participants may voluntarily withdraw from the competition at any time before the competition deadline by notifying Filmsolt in writing. However, withdrawal does not entitle the participant to any refund of fees or costs incurred, nor does it guarantee the return of submitted content.

  • Any withdrawal of content by the participant after the deadline will not disqualify Filmsolt from using the content as previously agreed (e.g., for promotional purposes).

13.5 Effect of Disqualification or Termination

  • Upon disqualification or termination of participation, the participant will forfeit any right to claim a prize, recognition, or award in relation to the competition.

  • Filmsolt is under no obligation to return any content that was submitted prior to disqualification or termination.

  • Disqualification or termination does not absolve the participant of any legal obligations or responsibilities they may have under these terms and conditions.

13.6 No Liability for Disqualification

  • In no event shall Filmsolt or its parent company, Archiol, be held liable for any loss, damage, or expense incurred by the participant as a result of disqualification or termination.

  • Participants acknowledge and agree that Filmsolt and Archiol are not financially or otherwise responsible for any costs or damages resulting from disqualification, suspension, or termination of participation, even if such actions result in the participant losing a prize, opportunity, or any other form of compensation.

13.7 Filmsolt's Discretion

  • Filmsolt and Archiol retain full discretion to disqualify, suspend, or terminate any participant's involvement in the competition without notice or explanation.

  • The decision of Filmsolt is final and binding in all matters relating to disqualification or termination.

13.8 Indemnification

  • By participating in the competition, the participant agrees to indemnify and hold harmless Filmsolt and Archiol from any claims, demands, or legal actions arising out of or related to their disqualification, termination, or any dispute related to the competition.

  • This includes, but is not limited to, any costs or damages arising from a participant's failure to comply with these terms and conditions.

13.9 No Financial Responsibility

  • Filmsolt and Archiol shall not be liable for any financial compensation, loss of earnings, or other costs arising from a participant’s disqualification, termination, or withdrawal from the competition.

  • All such costs shall be borne by the participant, and Filmsolt and Archiol shall bear no responsibility for any financial obligations the participant may incur as a result of their involvement in the competition.

12.1 No Liability for Loss or Damage
Filmsolt and its parent company, Archiol, shall not be held liable for any loss, damage, or injury incurred by the participant, whether directly or indirectly, arising from participation in the competition or use of the Filmsolt platform. This includes but is not limited to loss of profits, reputational damage, or any other economic or non-economic loss.

12.2 No Liability for Third-Party Claims
Filmsolt and Archiol shall not be responsible for any third-party claims, including those relating to copyright infringement, intellectual property violations, or any other legal dispute that arises due to the participant’s submission. The participant agrees to hold Filmsolt and Archiol harmless from any such claims, and to bear sole responsibility for any consequences that may result.

12.3 No Liability for Submission Issues
Filmsolt and Archiol shall not be held responsible for any technical difficulties, including but not limited to issues with submission uploads, internet connectivity, file corruption, or system failures. The participant assumes full responsibility for ensuring that submissions are completed within the specified time and meet all technical requirements.

12.4 No Financial Liability for Disqualification or Errors
Filmsolt and Archiol are not liable for any loss or financial detriment caused by disqualification from the competition, including but not limited to any issues related to eligibility, breach of competition rules, or failure to submit the entry in the proper format. In such cases, the participant acknowledges that no refund, compensation, or financial restitution will be provided.

12.5 Limitation of Liability for Prize and Award Process
Filmsolt and Archiol are not liable for any discrepancies, delays, or errors in the prize and award process, including issues with the distribution of prizes or recognition. Participants acknowledge that the prizes and awards are non-transferable, and Filmsolt and Archiol are not responsible for any failure or inability of the participant to claim a prize or award.

12.6 Exclusion of Consequential and Indirect Damages
To the fullest extent permitted by applicable law, Filmsolt and Archiol shall not be liable for any consequential, incidental, indirect, or special damages, including but not limited to loss of data, loss of revenue, or any damages arising from use or inability to use the platform or participate in the competition, even if advised of the possibility of such damages.

12.7 No Guarantee of Results or Outcomes
Filmsolt and Archiol do not guarantee any specific results, success, or outcomes from participation in the competition. The participant acknowledges that the judging process and the selection of winners are based on subjective criteria, and that no liability will be incurred by Filmsolt or Archiol if the participant does not win or receive recognition.

12.8 Force Majeure and Exclusion from Liability
Filmsolt and Archiol shall not be held liable for any failure to perform their obligations under these terms and conditions if such failure is caused by unforeseen circumstances or events beyond their control, including but not limited to natural disasters, pandemics, war, acts of terrorism, or other force majeure events. In such cases, Filmsolt and Archiol will not be financially responsible for any delays, damages, or losses incurred by participants.

12.9 Participant’s Sole Responsibility for Legal Compliance
The participant assumes full responsibility for ensuring that their submission complies with all applicable laws, including but not limited to intellectual property laws, privacy regulations, and content restrictions. Filmsolt and Archiol shall not be held liable for any legal consequences arising from the participant’s submission.

12.10 No Warranty on Platform Availability
Filmsolt and Archiol do not warrant that the platform will be continuously available, secure, or free of errors. The platform is provided on an "as-is" and "as-available" basis, and Filmsolt and Archiol shall not be liable for any downtime, technical issues, or interruptions in service that may affect participation in the competition.

By submitting an entry to any competition organized by Filmsolt, the participant makes the following representations and warranties:

11.1 Originality of Content

The participant guarantees that the content submitted to Filmsolt is entirely original, and does not infringe upon any third-party intellectual property rights, including copyrights, trademarks, or patents. The participant affirms that they hold full ownership and control over all rights to the submitted content.

11.2 Non-infringement of Third-Party Rights

The participant warrants that the submitted content does not violate the rights of any third party, including but not limited to:

  • Copyrights, trademarks, or any other intellectual property rights.

  • Privacy or publicity rights of any individual or entity.

  • Any applicable laws or regulations, including but not limited to those relating to defamation, obscenity, hate speech, or unlawful content.

11.3 Licensing and Permissions

The participant warrants that they have obtained all necessary licenses, releases, and permissions required to submit the content, and that the content does not contain any material that is subject to restrictions, including but not limited to:

  • Music, video footage, images, or other content that the participant does not own.

  • Any third-party content used in the creation of the submission, including any recognizable trademarks, logos, or branding.

11.4 No Legal or Financial Claims

The participant represents and warrants that no third party has made or will make any claim related to the submitted content, including claims for compensation, damages, or royalties. The participant agrees to indemnify and hold harmless Filmsolt, Archiol, and their respective affiliates, officers, employees, and agents from any such claims.

11.5 Compliance with Applicable Laws

The participant guarantees that the content submitted complies with all applicable laws, rules, and regulations, including but not limited to intellectual property laws, privacy laws, and international copyright agreements. The participant affirms that the content is suitable for public distribution and viewing, and does not include any prohibited, harmful, or illegal material.

11.6 Indemnification

The participant agrees to indemnify, defend, and hold harmless Filmsolt, Archiol, and their affiliates, directors, officers, employees, agents, and representatives, from and against any and all claims, damages, losses, liabilities, expenses, and legal fees (including legal defense costs) arising out of or in connection with:

  • Any violation of the representations and warranties made in this clause.

  • Any claim or legal action relating to the participant's submission, including but not limited to infringement of intellectual property rights, privacy violations, or defamation.

  • Any breach of these terms and conditions by the participant.

11.7 Financial Responsibility

The participant acknowledges and agrees that Filmsolt and Archiol are not financially responsible for any costs, losses, damages, or expenses incurred as a result of the participant's submission to the competition. This includes, but is not limited to:

  • Costs related to the production of the submitted content.

  • Any third-party claims, legal actions, or disputes related to the content.

  • The participant’s failure to comply with any applicable laws or regulations.

11.8 No Liability for Errors or Omissions

The participant agrees to hold Filmsolt and Archiol harmless from any liability arising from errors or omissions in the submission process, including but not limited to issues related to technical difficulties, loss of content, or incorrect information.

11.9 Grant of License for Promotional Use

The participant grants Filmsolt and Archiol a worldwide, royalty-free, irrevocable, and perpetual license to use, display, distribute, and promote the submitted content for the purpose of marketing, advertising, and promoting Filmsolt, Archiol, and their competitions, without further compensation. This includes the right to modify or adapt the content as necessary for such purposes.

11.10 Survival of Warranties

The warranties and representations made by the participant in this clause shall survive the termination or expiration of the competition and the participant’s submission, and shall remain in full force and effect even after the completion of the competition.

10.1 Data Collection
By participating in Filmsolt competitions, you acknowledge and consent to the collection of your personal data, which may include your name, email address, phone number, country of residence, and any other information required for the competition entry process. Filmsolt and Archiol reserve the right to collect additional data for internal purposes, such as improving the platform and providing relevant notifications.

10.2 Use of Personal Data
Filmsolt and Archiol may use the personal data collected for the following purposes:

  • To communicate with you regarding competition entries, results, and other related matters.

  • To analyze user behavior and preferences to improve user experience.

  • For marketing and promotional purposes, including sharing updates about upcoming competitions, events, or relevant services offered by Filmsolt and Archiol, unless you have opted out.

10.3 Third-Party Data Sharing
Filmsolt and Archiol may share your personal information with trusted third-party service providers to facilitate the competition process (e.g., payment processors, prize distributors, or event organizers). By participating in the competition, you acknowledge and accept this risk.

Personal data will be retained by Filmsolt and Archiol only for as long as necessary to fulfill the purposes outlined in this Privacy Policy. Once your data is no longer needed, it will be securely deleted or anonymized, in compliance with applicable data retention laws.

10.6 Participant's Consent
By submitting an entry, you explicitly consent to the collection, use, and sharing of your personal data as outlined in this clause. You also consent to the processing of your data for purposes related to the competition and promotional activities as described herein.

10.7 Participant's Rights
You have the right to access, modify, and request the deletion of your personal data. If you wish to exercise any of these rights, please contact Filmsolt at the provided communication channels. However, be advised that deleting your data may limit your ability to participate in ongoing or future competitions.

10.8 No Financial Liability for Data Loss
Filmsolt and Archiol will take all reasonable measures to protect your personal data. However, both organizations shall not be held financially liable for any loss, breach, or misuse of data due to circumstances beyond their control, including but not limited to cyber-attacks, system failures, or actions taken by third-party service providers.

10.9 Indemnification for Data Breaches
By participating in the competition, you agree to indemnify and hold harmless Filmsolt and Archiol, their employees, directors, agents, and affiliates, from any claims, damages, or liabilities arising from a data breach, including any claims from third parties whose data may have been compromised.

10.10 No Liability for Use of Publicly Shared Content
Any content you voluntarily share publicly (e.g., social media posts, shared media) in connection with the competition is outside the scope of this Privacy Policy. Filmsolt and Archiol shall not be held responsible for any privacy violations or financial losses incurred due to the public dissemination of such content.
